1. Parties & Engagement
This Agreement is between IRONHIDE ANALYTICS LLC (“Consultant”) and CLIENT LEGAL NAME (“Client”). Consultant will perform the 14-day Data Sprint described below.
2. Scope & Deliverables
- Governed KPI Map (6–12 KPIs with formulas, owners, filters, drill paths).
- Dashboard prototype (1–3 pages) in Power BI or Looker Studio (Tableau as needed).
- Data model & scheduled refresh; basic data quality checks.
- Walkthrough recording, quickstart guide, and acceptance checklist.
- 14-day stabilization for defect fixes only (no net-new features).
Out of scope: role-level security, multi-workspace rollout, heavy forecasting, complex ETL, broad data warehouse work (addressed via Project Expansion).
3. Timeline
Work occurs in a 14-day window following access provision and kickoff. Client agrees to provide timely feedback and two UAT windows (30–45 min each).
4. Fees & Payment
- Deposit: $750 non-refundable deposit to reserve the window (credited against total).
- Balance: remainder of selected tier due upon signature and before start.
- Invoices are due upon receipt unless otherwise stated. Late balances may pause delivery.
5. Changes
Changes to scope, sources, or features will be documented and may be delivered via Care Plan or a separate fixed-scope Project Expansion SOW.
6. Client Responsibilities
- Provide necessary data access (read-only where possible) and brand assets.
- Designate a single decision-maker for KPI validation and acceptance.
- Respond to review items within 1 business day to maintain momentum.
7. Acceptance & Stabilization
Acceptance is achieved when the dashboard renders without errors on defined datasets, KPIs match sample calculations, and refresh completes on schedule. A 14-day stabilization window covers defect fixes only.
8. Intellectual Property
Upon full payment, Client owns the deliverables (dashboards, model files, and documentation). Consultant retains pre-existing tools/know-how and may reuse non-confidential techniques and anonymized learnings.
9. Confidentiality & Data Protection
Each party will protect the other’s confidential information and use it only for the project. Consultant will implement reasonable security measures and remove credentials at project end.
10. Warranties & Limitation of Liability
Services are provided “as is.” Consultant disclaims implied warranties. Consultant’s total liability under this Agreement will not exceed the amounts paid by Client for the Sprint.
11. Rescheduling & Cancellation
- Rescheduling within 7 days of start may incur a $250 rescheduling fee.
- If Client cancels after signature but before start, deposit is forfeited.
- Pausing mid-Sprint is discouraged; completed work remains billable.
12. Term & Termination
Either party may terminate for material breach if not cured within 10 days of written notice. Sections on payment due, IP, confidentiality, and limitation survive termination.
13. Miscellaneous
- Governing law & venue: TEXAS, USA; venue in TRAVIS COUNTY, TEXAS courts.
- Independent contractor: Consultant is not Client’s employee or agent.
- Entire agreement: This Agreement (with any exhibits) is the entire understanding regarding the Sprint.
- Counterparts: Executable via e-signature.
